Welcome to The Bee Suite™! By using our Services, you are entering into a legally binding agreement. Please read these Terms of Service carefully before accessing or using our platform.

1. Overview and Agreement

1.1 Purpose

The Bee Suite™ (a registered trademark of ALLY Energy & Cognovi Communications) is a professional development platform and community for builders and fractional leaders. Our mission is to unite, connect, and empower professionals to build thriving fractional practices on their own terms. Our Services include the BOSS™ Assessment, educational programs (Bootcamp, Coaching, and Certification), The Hive Community platform, and related tools and resources.

1.2 Agreement

By clicking "Sign Up," "Join," "Enroll," or similar buttons, or by accessing or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. This Agreement applies to all users, including registered members ("Members") and unregistered visitors ("Visitors").

If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

If you do not agree to these Terms, do not use our Services.

2. Eligibility and Account Requirements

2.1 Eligibility

To use our Services, you must:

• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Provide accurate and complete information during registration
• Maintain only one account in your real name

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, secure password
• Keep your password confidential
• Not share your account with others
• Notify us immediately of any unauthorized access or security breach

2.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms, engage in prohibited conduct, or for any other reason we deem appropriate. You may also close your account at any time by contacting us at [email protected].

3. Programs and Services

3.1 BOSS™ Assessment

The BOSS™ Assessment is a professional evaluation tool designed to identify your builder archetype and provide personalized recommendations. Assessment results are for informational and educational purposes only and do not constitute professional advice or guarantees of future success.

3.2 Educational Programs

Our Bootcamp, Coaching, and Certification programs provide educational content, tools, resources, and community access to help you build a fractional practice. Program enrollment is subject to availability and acceptance. We reserve the right to modify program content, schedules, and requirements at any time.

3.3 The Hive Community

The Hive is our community platform where members can connect, network, share knowledge, and support each other. Access to The Hive is included with program enrollment and subject to compliance with our Community Guidelines.

3.4 Tools and Resources

We provide various tools, templates, calculators, and resources to support your professional development. These materials are for your personal use only and may not be redistributed, resold, or used for commercial purposes without our written permission.

4. Payment Terms

4.1 Fees and Pricing

Program fees are clearly displayed on our website. Prices are subject to change, but we will honor the price you agreed to at the time of enrollment. All fees are in U.S. dollars unless otherwise specified.

4.2 Payment Authorization

By providing payment information, you authorize us to charge your payment method for all applicable fees, including any taxes. You authorize us to continue billing your payment method even after it expires to avoid service interruptions, and you agree to update your payment information as needed.

4.3 Refund Policy

We offer a 14-day money-back guarantee for our programs. If you are not satisfied within 14 days of enrollment, you may request a refund minus a $750 administrative fee. Refund requests must be submitted in writing to [email protected]. Refunds are processed within 10-14 business days.

After the 14-day period, all fees are non-refundable. You remain responsible for any fees incurred prior to cancellation.

4.4 Taxes

You are responsible for any applicable sales tax, use tax, value-added tax (VAT), or other taxes based on your billing location. Taxes are calculated based on the billing information you provide at the time of purchase.

5. Intellectual Property Rights

5.1 Our Content

All content, materials, tools, resources, and intellectual property provided through our Services, including but not limited to text, graphics, logos, images, videos, software, and course materials, are owned by The Bee Suite, ALLY Energy, Cognovi Communications, or our licensors and are protected by copyright, trademark, and other intellectual property laws.

The Bee Suite™, BOSS™, and The Hive™ are trademarks of ALLY Energy & Cognovi Communications. You may not use these trademarks without our prior written permission.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use. This license does not include the right to:

• Reproduce, distribute, modify, or create derivative works from our content
• Use our content for commercial purposes
• Remove copyright or proprietary notices
• Reverse engineer or decompile any software or technology
• Use automated tools to access or scrape our Services

5.3 Your Content

You retain ownership of content you create and share through our Services, including profile information, posts, comments, and messages ("Your Content"). By sharing Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display Your Content in connection with operating and promoting our Services.

You represent and warrant that you own or have the necessary rights to Your Content and that it does not violate any third-party rights or applicable laws.

6. User Conduct and Community Guidelines

You agree to use our Services responsibly and in compliance with all applicable laws. You will not:

• Post false, misleading, defamatory, or fraudulent content
• Harass, threaten, intimidate, or abuse other users
• Share confidential or proprietary information without authorization
• Violate any intellectual property rights

Our Services provide educational content, tools, and community support but do not constitute professional advice (legal, financial, tax, or otherwise). You should consult with qualified professionals for advice specific to your situation. We are not responsible for any decisions you make based on information obtained through our Services.

7.2 No Guarantees

We do not guarantee specific outcomes, results, or income levels from participating in our programs or using our Services. Your success depends on many factors, including your effort, skills, experience, market conditions, and circumstances beyond our control.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BEE SUITE, ALLY ENERGY, COGNOVI COMMUNICATIONS, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless The Bee Suite, ALLY Energy, Cognovi Communications, and our affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your Content or any content you share through our Services

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or our Services must be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

9.2 Informal Resolution

Before filing any legal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will work in good faith to resolve any issues.

9.3 Time Limitation

Any claim or cause of action arising out of or related to these Terms or our Services must be filed within one (1) year after the claim arose, or it will be permanently barred.

10.1 Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website and updating the effective date. We will provide notice of material changes through our Services or via email. Your continued use of our Services after any changes constitutes acceptance of the modified Terms.
